OTR-Group's OTR-Legal service offers a Technology Contract Review service that ensures a contract is workable for all parties involved. We work closely with Lawyers, Management and senior Board members. Our clients include governmental bodies, such as the EC and national and multi-national organisation such as General Dynamics.

The aim of a contract has always been twofold, the first to give some protection to both parties, handled well by the lawyers, the second to form a “scope” that allows both parties to understand the inclusions, risks, and options. Here, contracts are not worked or used to continuously measure the business. We specialise in making these contracts “workable” for both parties and make sure, where necessary, that they include measurements and clearly define the aspirations of both parties. This helps to greatly reduce miss-understanding and clearly define items that are in/out of scope.

    • Break options and exit clauses,

  • What is covered within the contract (work, reporting, SLA’s),
  • The measurability of the contract SLA’s,
  • Defining important sections.

MATCHING ASPIRATIONS

We have assisted in hundreds of contracts to-date; the service’s ultimate aim is to match both parties’ aspirations, by allowing them to agree the differences and to bring them closer together. Even though we do work in distress situations, and are one of the few companies to have ever sat in all courts within Europe, in 20 years we have never been on a losing side. Our work with the EC during the Microsoft antitrust case is testament to this.

While a high percentage of our work is assisting Lawyers, CIOs and CFOs we also work with VC’s pre-deal. We don't interfere with contract negotiations, but add weight and ammunition to Procurement Managers and those involved in contract negotiations.
